Supplier Code of Conduct

At Sumo Logic we are committed to conducting our business in an ethical, legally compliant and socially responsible manner. Sumo Logic’s supply chain must at all times reflect our values.

All persons, companies, partnerships and any third parties (including directors, officers, employees, representatives, agents and subcontractors) providing products or services to Sumo Logic (collectively, the “Suppliers”) are expected to share this commitment and are required to conduct themselves in accordance with this Supplier Code of Conduct (the “Code”).

Legal & Ethical Compliance

Sumo Logic conducts its business in compliance with all applicable laws, rules and regulations. Sumo Logic does not engage in bribery, corruption, money laundering or other fraudulent practices. We expect the same from our Suppliers. A Supplier must have in place policies and procedures to ensure such compliance.

Human Rights & Labor

We believe that our supply chain should reflect our values and respect for human rights. Suppliers must act in line with local legislation and regulations against modern slavery and human trafficking (including unlawful child labor).

  • Child Labor: We are committed to acting ethically and with integrity in all our business relationships and to implementing and enforcing effective systems and controls to ensure that child labor does not take place anywhere in our supply chain/s or in any part of our business. We adhere to local laws regarding minimum employment age and do not employ children who are under the local minimum school leaving age. We require the same approach from our Suppliers.
  • Abuse: Under no circumstance do we permit the use of violence, harassment or abuse in any of our operations. Our Suppliers must also operate in this way.
  • Discrimination and Harassment: We value opportunity for all and do not tolerate unlawful discrimination, harassment or any abuse of human rights. Our Suppliers must also operate in the same way.

Health and Safety

We expect our Suppliers to obey all applicable laws and regulations, including those that require them to treat workers fairly and provide a safe and healthy work environment. Suppliers must provide all workers with a safe work environment, which includes providing all workers with appropriate personal protective equipment and workplace health and safety information and training.

Our policy is to take all reasonably practical steps to safeguard the health and safety at work of all our people, and the safety of our customers, Suppliers and all others who are affected by our activities. Our Suppliers must adhere to all applicable health and safety laws.

Environment

Suppliers must comply with all national and local environmental laws applicable to air emissions, waste handling and disposal, water use, wastewater discharges, and hazardous and toxic substances.

Compliance with The Modern Slavery Act 2015

Sumo Logic strictly prohibits the use of modern slavery and human trafficking of any kind in its supply chain/s.

Sumo Logic expects each of its Suppliers to be open and transparent in the way they conduct business with Sumo Logic and agree to: (i) comply with all applicable anti-slavery and human trafficking laws, statutes, regulations and codes from time to time in force in the country where they are supplying goods and services to or on behalf of Sumo Logic; (ii) represent and warrant that they have not been convicted of any offence involving slavery and human trafficking; nor been the subject of any investigation, inquiry or enforcement proceedings regarding any offence or alleged offence of or in connection with slavery and human trafficking; (iii) notify Sumo Logic as soon as they become aware of: (a) any breach, or potential breach of the point above; or (b) any actual or suspected slavery or human trafficking in a supply chain which has a connection with the goods or services provided to Sumo Logic.

Prohibition of Corruption and Bribery

We expect our Suppliers to respect the rights of others and deal fairly with Sumo Logic and its business partners in compliance with applicable laws. Our Suppliers must not take unfair advantage of anyone or use any unfair business practice.

Suppliers must not offer or give money, gifts, privileges, benefits (even if it has a nominal value or no value at all) or other items of value intended to improperly influence (directly or indirectly) any business decision or that otherwise violate applicable laws or create the appearance of impropriety.

Data Protection and Privacy

Sumo Logic works diligently to safeguard the data and privacy of its employees, customers, prospects, business contacts, vendors, suppliers, and website visitors. Our Suppliers are also required to understand the legal and contractual responsibilities that are applicable with respect to protecting third party and Sumo Logic’s data. Each of our Suppliers must observe all applicable data protection standards, rule, laws and regulations. Each of our Suppliers must ensure that it has appropriate technical and organizational measures to protect against unauthorized or unlawful processing of personal data and against accidental loss or destruction of, or damage to, personal data.

Confidentiality and Intellectual Property

All Suppliers and their representatives are expected to maintain the confidentiality of information entrusted to them by Sumo Logic or its customers. Suppliers must respect and protect Sumo Logic’s intellectual property rights and maintain the confidentiality of trade secrets and other Sumo Logic proprietary information, which includes any information that is non-public or not easily obtained or determined. Supplier must never use stolen or misappropriated information or technology.

Conflicts of Interest

At no time will Supplier engage in any activity with an employee of Sumo Logic that could create a real or perceived conflict of interest.

Reporting Violations of The Code

Each Supplier must promptly report to Sumo Logic any violations of the Code. If a Supplier has reason to believe that such Supplier or any of its representatives, or an employee of Sumo Logic or its representatives, may have violated the Code or any applicable law, rule, or regulation, or otherwise engaged in unethical behavior, it is that Supplier’s responsibility to promptly report the violation to such Supplier’s primary Sumo Logic contact. Alternatively, Supplier may report violations of the Code online at http://sumologic.ethicspoint.com, or by calling the U.S. toll-free number +1 (866) 714-1294 (or other global phone numbers available on the website). Reports may be submitted anonymously, depending on local laws.

Monitoring

Sumo Logic may assess your compliance with this Code at any time and any violations of this Code may lead to termination of our business relationship.

Being a Supplier to Sumo Logic confirms that you comply with the above principles.

We will review this Code on a regular basis and make revisions where necessary or appropriate.

We will notify our Suppliers of any important changes, but Suppliers will always find the most up to date version of the Code at www.sumologic.com.
